1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of services provided by Direct AI Automation Systems LLC, operating the Direct AI Automation service brand ("Company," "we," "us," or "our"), including our website and SMS messaging program. By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and others who access or use our website located at directaiautomation.com and our SMS messaging communications.

2. SMS Messaging Program Description

Consent to receive appointment-related SMS messages and consent to receive marketing SMS messages are treated as separate, independent consent categories. Opting into one category does not enroll you in the other.

How You Opt In: You opt in to the SMS program by selecting "Yes" on the SMS Communication Preferences screen on directaiautomation.com prior to booking a demo, or by otherwise providing your phone number with explicit affirmative consent to receive SMS messages from us. Each consent category (appointment vs. marketing) is captured by a separate Yes/No selection. Consent is never pre-checked, bundled, or implied.

Supported carriers include, but may not be limited to: AT&T, T-Mobile, Verizon, Sprint, Boost Mobile, MetroPCS, U.S. Cellular, and other major U.S. carriers. Program may not be available on all carriers.

5. Eligibility & Usage

To use our services and participate in the SMS messaging program, you must:

• Be at least 18 years of age
• Be a resident of or located in the United States
• Have a valid mobile number capable of receiving SMS messages
• Have the legal authority to agree to these Terms on behalf of yourself or any organization you represent

By providing your phone number, you represent and warrant that you are the subscriber of the mobile number provided, or that you have the permission of the subscriber to provide that number and consent to receive SMS messages.

You agree to notify us immediately if you change your mobile number. You agree not to use our services for any unlawful, harmful, or abusive purposes.

6. Intellectual Property

All content on our website, including text, graphics, logos, trademarks (including "Direct AI Automation"), and software, is the property of Direct AI Automation Systems LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our express written permission.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Direct AI Automation Systems LLC and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers or personal information stored therein
• Any delays or failures in SMS message delivery
• Any errors, omissions, or inaccuracies in our communications

In no event shall our total liability to you exceed the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

8. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

9. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Our Privacy Policy describes how we collect, use, and protect your personal information, including phone numbers and SMS consent data.

10. Indemnification

You agree to indemnify, defend, and hold harmless Direct AI Automation Systems LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another person or entity.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New York County, New York.
